Terms and Conditions for Gearbly

Effective Date: January 16, 2026

1. Services Provided

Gearbly provides premium web development, WordPress consulting, and technical solutions. The specific scope of work, timelines, and deliverables for each project will be outlined in a separate Project Proposal or Statement of Work (SOW).

2. Payment Terms

  • Invoicing: All payments are processed in [Your Currency, e.g., INR/USD].
  • Milestones: For projects over a certain value, a 50% upfront deposit is required before work begins.
  • Late Payments: We reserve the right to suspend services if invoices remain unpaid for more than 15 days past the due date.

3. Intellectual Property

  • Client Content: You retain ownership of all text, images, and data you provide.
  • Our Work: Upon full payment, Gearbly grants you a license to use the final website/code. We retain the right to showcase the work in our portfolio unless a Non-Disclosure Agreement (NDA) is signed.

4. Client Responsibilities

To maintain our “Professional & Premium” standards, we require timely feedback. If a project is delayed by more than 30 days due to a lack of client communication, we reserve the right to archive the project and charge a restart fee.

5. Limitation of Liability

Gearbly is not liable for any loss of profits, data, or business interruptions caused by third-party services (like hosting providers, WordPress plugins, or API changes). Our maximum liability is limited to the amount paid for the specific service in question.

6. Termination

Either party may terminate the contract with [14 days] written notice. Any work completed up to the date of termination will be invoiced and payable.

7. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Chennai.
